§1 General Provisions
- §These Terms of Service govern the provision of web design, web application development, and related services (the "Services") by WebGuys (the "Provider").
- §The Provider can be contacted via the contact form at webguys.pl or the email address listed in the site footer.
- §A Client may be either an individual operating a business or a legal entity ("Client").
§2 Scope of Services
- §The Provider offers services including, but not limited to: design and development of websites and web applications, repair and modernization of existing sites/applications, migration of sites and applications to new hosting, domain, server, and SSL certificate configuration, as well as deployment of an online course platform (TherLMS).
- §The detailed scope of each Service is agreed individually with the Client prior to the start of work and confirmed by email or a separate agreement.
§3 Order Fulfillment Process
- §Work on a Service begins once the scope, timeline, and fee have been confirmed by both parties.
- §The Client is responsible for providing necessary materials (content, images, credentials) within a timeframe that allows the project to proceed according to the agreed schedule. Delays in providing materials may extend the delivery timeline accordingly.
- §The number of revision rounds included in the agreed price is determined individually for each project.
§4 Payment
- §Fees for Services are determined individually and provided as a quote before work begins.
- §Standard payment model: a deposit of 30-50% of the total project value payable before work starts, with the remaining balance due upon Client acceptance of the completed work.
- §Payments are processed based on an invoice issued by the Provider.
- §For recurring services (e.g., maintenance, technical support), billing occurs on a monthly basis unless otherwise agreed.
§5 Intellectual Property
- §Until full payment for the Service has been received, economic copyright to the produced code and graphic design remains with the Provider.
- §Upon full payment, copyright to the delivered elements transfers to the Client to the extent necessary for using the site/application as intended, unless otherwise agreed in a separate contract.
- §Elements sourced from third parties (e.g., open-source libraries, fonts, stock images) remain subject to their original licenses, regardless of these Terms.
§6 Warranty and Complaints
- §The Provider warrants correct operation of the delivered Service for 30 days from the date of acceptance, covering the correction of defects arising from the implementation, but not changes resulting from new Client requirements.
- §Complaints should be submitted by email with a description of the issue; the Provider will respond within 5 business days.
§7 Liability
- §The Provider exercises due diligence in delivering Services but is not liable for damages resulting from the actions of third parties (e.g., failures of external hosting providers, changes to third-party APIs).
- §The Provider's liability is limited to the value of the fee received for the given Service, unless mandatory law provides otherwise.
§8 Personal Data
- §The processing of Clients' personal data is governed by a separate Privacy Policy available at webguys.pl.
§9 Final Provisions
- §Matters not addressed in these Terms are governed by applicable Polish law.
- §The Provider reserves the right to amend these Terms; changes do not affect orders already in progress at the time the amendment is introduced.
- §These Terms take effect on the date of publication at webguys.pl.
